2. Scope and Acceptance

These Terms of Service ("Terms") govern the use of BulkGate SMS by VoxFlow (the "Service") operated by Mindful Momentum Ltd ("Provider", "we", "us"). By installing the Service from the HighLevel Marketplace or otherwise using it, the installing business ("Subscriber", "you") accepts these Terms and the Data Processing Addendum. The Service is offered to businesses only, not to consumers.

3. Description of the Service

The Service:

• registers as an SMS conversation provider inside a HighLevel sub-account;
• sends outbound SMS written in HighLevel through the Subscriber's own BulkGate account;
• returns inbound replies and delivery status into the HighLevel conversations inbox;
• recognises opt-out keywords (such as STOP) and opt-in keywords (such as START), blocks further messages to people who opted out, and mirrors this to the contact's SMS do-not-disturb setting and to the Subscriber's BulkGate blacklist. Turning SMS do-not-disturb on or off for a contact in HighLevel has the same effect as STOP or START.

The Service relies on HighLevel (HighLevel Inc.) and BulkGate (TOPefekt s.r.o.) as third-party platforms that the Subscriber contracts with directly. SMS only: MMS, WhatsApp and custom Sender ID are not supported yet.

4. Your Accounts

You need an active HighLevel sub-account and your own active BulkGate account, and you provide your own BulkGate API credentials. The Provider does not supply, resell or subsidise SMS credit: all SMS charges are billed by BulkGate directly to your BulkGate account.

5. Fees and Billing

Installing the Service is free and there is no subscription. The Service is developed and supported by VoxFlow, which charges a module fee of USD 0.01 per outbound SMS message (per message, not per segment), billed by HighLevel through your account wallet, as shown in the Marketplace listing. SMS delivery is billed separately by BulkGate to your own BulkGate account and is outside the Provider's control. We will announce fee changes in the Marketplace listing and on this page at least 30 days in advance.

6. Your Obligations

• Send messages only to people from whom you have the consent or other legal basis required by the law that applies to you and to them (for example the GDPR, ePrivacy rules, or the TCPA).
• Do not use the Service for spam, phishing, harassment or any unlawful purpose.
• Respect opt-outs. The Service blocks messages to numbers that replied with a recognised opt-out keyword, but you remain responsible for honouring opt-outs received through any other channel.
• Comply with the HighLevel and BulkGate terms that apply to your accounts.
• Keep your credentials confidential, and do not reverse-engineer, resell or redistribute the Service.

7. Support and Service Changes

Support is available at bulkgate@voxflow.hu; we aim to respond within 2 business days. We may modify the Service, and may suspend access for a breach of these Terms or to protect the Service or third parties.

8. Intellectual Property

The Service, its code and the "BulkGate SMS by VoxFlow" name are the property of Mindful Momentum Ltd, except for the BulkGate and HighLevel names, which belong to their respective owners. You receive a limited, non-exclusive, non-transferable licence to use the Service for your business while it is installed.

9. Uninstalling

You may uninstall the Service at any time from HighLevel. Your installation data, credentials, message references and opt-out list for that sub-account are deleted immediately, as described in the Privacy Policy. Uninstalling does not affect your BulkGate account or its balance.

10. Limitation of Liability

To the fullest extent permitted by law, the Provider is not liable for unavailability of the Service (including outages of HighLevel or BulkGate), for the delivery, timing or accuracy of messages, which depend on BulkGate and mobile networks (for example, a network or gateway may alter special characters), or for any indirect or consequential loss. The Provider's total liability is limited to the module fees you paid in the 12 months before the claim. Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or any other liability that cannot be limited by law.

11. Force Majeure

The Provider is not liable for delays or failures caused by events outside its reasonable control, including outages of HighLevel, BulkGate, our hosting providers, or the internet.

12. Data Protection

The Privacy Policy and the Data Processing Addendum form part of these Terms.

13. Changes to These Terms

We will announce material changes on this page at least 15 days before they take effect. Continuing to use the Service after that date means you accept the new Terms; if you do not, you may uninstall.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

15. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force.
